Service Agreement
These terms govern the provision of services by Roefaloer. By engaging our services, clients agree to these conditions and commit to collaborative participation in project delivery.
Roefaloer provides digital workflow solutions, process automation, data structuring, and related services as outlined in project-specific agreements. Detailed scope, deliverables, and timelines are defined in individual proposals and contracts.
Service Delivery
Roefaloer commits to delivering services with professional competence and reasonable care. Our work follows established methodologies and industry practices. Project timelines are estimates based on available information and assume timely client input.
Delays caused by factors outside our control, including client responsiveness, third-party dependencies, or unforeseen technical challenges, may affect delivery schedules. We communicate promptly about such situations and work to minimize impact.
Client Responsibilities
Successful project outcomes require active client participation. Responsibilities include:
- Providing accurate information and requirements
- Timely review and feedback on deliverables
- Access to necessary systems and data
- Designated points of contact for decision-making
- Adherence to agreed payment terms
Failure to meet these obligations may affect project progress and outcomes.
Intellectual Property
Work products created specifically for a client under contract become client property upon full completion and receipt of agreed compensation. Roefaloer retains rights to pre-existing methodologies, tools, and general knowledge used in service delivery.
We may reference project experience in general terms for business development purposes, excluding confidential information. Specific case study usage requires explicit client permission.
Confidentiality
Roefaloer maintains confidentiality of client information disclosed during engagement. We implement appropriate safeguards and limit access to personnel directly involved in service delivery. This obligation continues beyond project completion.
Exceptions apply where disclosure is legally required or necessary for technical implementation involving authorized third parties.
Warranties and Limitations
Roefaloer warrants that services will be performed with reasonable skill and care consistent with industry standards. We do not guarantee specific operational outcomes, as results depend on multiple factors including implementation context and user adoption.
Our liability for service-related issues is limited to the fees paid for the specific work in question. Roefaloer is not liable for indirect, consequential, or incidental impacts arising from service delivery or system use.
Payment Terms
Fees are specified in project proposals and invoiced according to agreed schedules. Payment is due within 30 days of invoice date unless otherwise stated. Late payments may incur interest charges and affect ongoing service delivery.
Project scope changes require written agreement and may adjust fees and timelines. Additional work outside original scope is billed separately.
Termination
Either party may terminate engagement with written notice. Termination obligations include payment for completed work and return of materials. Specific termination conditions are detailed in individual contracts.
Governing Law
These terms are governed by the laws of Victoria, Australia. Disputes are subject to the jurisdiction of Victorian courts. We prefer to resolve issues through direct discussion before formal proceedings.
